Terms and Conditions

1. INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of PawZync, a digital platform owned and operated by The FineQubit (Pvt) Ltd, a company incorporated under the laws of Sri Lanka ("PawZync", "Company", "we", "our", or "us").

By accessing, registering, or using PawZync, you agree to be legally bound by these Terms.

2. DEFINITIONS

Platform – PawZync website, mobile applications, APIs, and digital services.

Pet Owner – Registered individual managing pets and appointments.

Clinic – Veterinary clinic, hospital, or veterinary professional registered on PawZync.

User – Any Pet Owner, Clinic, staff member, or person accessing the Platform.

Services – Digital technology services provided by PawZync.

Platform Service Fee – Booking or subscription fee charged by PawZync for access to its technology services.

3. NATURE OF THE PLATFORM

PawZync is strictly a technology platform.

PawZync:

• Does not provide veterinary advice or treatment.
• Does not employ veterinarians.
• Does not supervise Clinics.
• Does not verify clinic licensing or regulatory compliance.
• Does not guarantee appointment fulfillment or medical outcomes.

All veterinary services are provided independently by Clinics.

4. USER ACCOUNTS AND SECURITY

Users must:

• Provide accurate and complete information;
• Maintain confidentiality of credentials;
• Immediately notify PawZync of unauthorized access.

Users are responsible for all activities under their accounts.

Minimum age: 18 years.

5. ACCEPTABLE USE

Users agree to:

• Use the Platform lawfully;
• Provide accurate information;
• Respect appointment policies.

Users shall not:

• Create fake accounts;
• Submit fraudulent or misleading data;
• Harass other users;
• Attempt unauthorized system access.

6. USER-GENERATED CONTENT AND DATA RESPONSIBILITY

6.1 All information submitted to the Platform — including but not limited to:

• Personal details
• Pet information
• Medical history
• Vaccination records
• Appointment notes
• Uploaded documents
• Clinic credentials
• Treatment entries
• Prescriptions
• Reviews and ratings

is provided solely by the User or Clinic that submits such information.

6.2 PawZync:

• Does not verify the accuracy, completeness, authenticity, legality, or reliability of User-submitted or Clinic-submitted data;
• Does not independently validate medical records;
• Does not guarantee that any data displayed is correct or up to date.

6.3 PawZync shall not be liable for:

• Incorrect pet age;
• Incorrect vaccination dates;
• Misdiagnosis recorded by Clinics;
• Fraudulent identity information;
• False or misleading content;
• Outdated records;
• Regulatory non-compliance by Clinics;
• Any reliance placed on inaccurate information.

6.5 Users and Clinics agree to indemnify and hold harmless PawZync from any claims arising from data they submit.

7. APPOINTMENTS

Appointment slots are created and managed solely by Clinics.

PawZync does not:

• Guarantee appointment availability;
• Guarantee consultation delivery;
• Control Clinic scheduling decisions.

8. CANCELLATIONS, RESCHEDULING & DELAYS

PawZync is not responsible for:

• Clinic cancellations;
• Clinic rescheduling without notice;
• Sudden emergency closure;
• Delays due to extended consultations;
• Overbooking;
• Refusal of service.

PawZync is not liable for travel expenses, lost time, lost income, inconvenience, or consequential damages.

9. PLATFORM SERVICE FEES

All payments collected by PawZync constitute Platform Service Fees only.

They are:

• Not medical consultation fees;
• Not collected on behalf of Clinics;
• Not guarantees of medical service.

Clinics charge consultation fees separately.

10. REFUNDS

If a Clinic cancels → Platform credit or refund minus processing fees.

Late cancellation or no-show → Non-refundable.

Fraudulent chargebacks may result in suspension and recovery of costs.

11. SUBSCRIPTIONS

Premium subscriptions:

• Auto-renew;
• Non-refundable once billing cycle begins;
• May be suspended for failed payments.

12. PET HEALTH RECORD ACCESS

Pet Owners own the consolidated pet timeline.

Clinics own records they create.

By booking, Pet Owners provide implied consent for Clinics to access relevant history during treatment.

13. FUTURE WEARABLE DEVICES

If introduced:

• Devices are not medical devices;
• Accuracy not guaranteed;
• Location tracking may be inaccurate;
• Owners remain responsible for pet supervision.

14. SERVICE AVAILABILITY

Provided "as is" and "as available."

No guarantee of uninterrupted or error-free service.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Total liability shall not exceed the amount paid by the User in the 12 months preceding the claim.
• If no payment was made, PawZync shall have no monetary liability.
• No liability for indirect, incidental, punitive, or consequential damages.

16. INDEMNIFICATION

Users and Clinics agree to indemnify PawZync and The FineQubit (Pvt) Ltd from claims arising from:

• Medical negligence;
• Data inaccuracies;
• Fraudulent submissions;
• Regulatory violations;
• User or Clinic misconduct;
• Payment disputes.

17. FORCE MAJEURE

No liability for events beyond reasonable control.

18. TERMINATION

PawZync may suspend or terminate accounts for breach, fraud, abuse, or legal risk.

Liability, indemnity, IP, and dispute provisions survive termination.

19. GOVERNING LAW AND DISPUTE RESOLUTION

Governed by Sri Lankan law.

Dispute process:

• 14-day negotiation;
• Mediation attempt;
• Binding arbitration in Colombo under Sri Lankan Arbitration Act.

Claims must be brought within 12 months.

Class actions waived.

20. INTELLECTUAL PROPERTY

All intellectual property belongs exclusively to The FineQubit (Pvt) Ltd.

21. ASSIGNMENT

Company may assign in merger/acquisition.

Users may not assign without written consent.

22. WAIVER

Failure to enforce a provision does not waive rights.

23. SEVERABILITY

Invalid provisions do not affect remaining clauses.

24. ENTIRE AGREEMENT

These Terms constitute the entire agreement between parties.

25. ELECTRONIC COMMUNICATIONS

Electronic acceptance is legally binding.

Users consent to receive notices electronically.

26. MODIFICATIONS

Terms may be updated with notice.

Continued use constitutes acceptance.
